How Long Does Company Registration Take in Poland in 2026

Mehtap Aktepe

Online guides often quote same-day registration for a sp. z o.o. through the S24 system — and that is technically accurate for the KRS entry itself. In practice, however, most foreign-owned companies take two to four weeks to become fully operational, once every step is accounted for.

What 'Same-Day' Actually Covers

The S24 system can register a company using a standard, unmodified template of the articles of association within roughly 24 hours. This works well for simple, single-shareholder companies with no customization needed.

Where Time Actually Goes

For foreign shareholders, most of the timeline is consumed by preparing and apostilling parent-company or personal documents, translating documents into Polish where required, and — if articles need customization beyond the standard template — notarization, which is slower than the S24 route.

VAT Registration Adds Time

VAT registration is processed separately from KRS registration and can take anywhere from a few days to several weeks depending on the tax office's current workload and whether additional verification is requested for foreign-owned entities.

Bank Account Opening

Business bank account opening for foreign-owned companies often takes longer than domestic Polish companies due to enhanced due diligence requirements, particularly for shareholders based outside the EU.

A Realistic Timeline

For a well-prepared foreign founder working with an experienced local advisor: KRS registration in 3-7 business days, VAT registration in 1-4 weeks, and a functioning bank account within 1-3 weeks — running partly in parallel rather than fully sequentially.

How TaxNXT Helps

TaxNXT runs these steps in parallel wherever possible and manages document preparation upfront, which is where most delays for foreign founders actually originate.
